Terms & Conditions
Contents
Please read these Terms and Conditions ("Terms") carefully before using the website at eicorp.in (the "Site") operated by Engineers India Corporation ("EIC", "we", "our", or "us").
These Terms govern your access to and use of the Site, including any content, features, and enquiry submissions. They do not constitute or replace a formal commercial contract between EIC and any client. Any confirmed purchase order, supply agreement, or contractual arrangement will be governed by a separately executed written agreement or EIC's standard commercial terms issued at the time of order acceptance.
1. Acceptance of Terms
By accessing or using this Site — including submitting an enquiry form — you confirm that you:
- Are at least 18 years of age and have the legal capacity to enter into agreements;
- Are accessing the Site in a professional or business capacity;
- Have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, please discontinue use of the Site immediately.
2. Use of the Website
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of any third party. Specifically, you must not:
- Attempt to gain unauthorised access to any part of the Site or its underlying infrastructure;
- Use any automated tool, scraper, or bot to extract content from the Site without our prior written consent;
- Submit false, misleading, or fraudulent information via the enquiry form;
- Use the Site in any manner that could damage, disable, overburden, or impair its functionality;
- Transmit any malicious code, virus, or other harmful material through the Site.
EIC reserves the right to restrict or terminate access to the Site for any user who breaches these conditions, without prior notice.
3. Enquiries & Quotations
The enquiry form on this Site is provided as a preliminary communication channel only. Submitting an enquiry does not constitute a purchase order, letter of intent, or binding commitment by either party.
An enquiry response from EIC (including any preliminary cost estimate or technical assessment) is similarly not a binding offer unless explicitly designated as a formal quotation in writing and signed by an authorised EIC representative.
EIC reserves the right to decline any enquiry at its absolute discretion without providing a reason.
4. Quote & Pricing Validity
All formal written quotations issued by EIC are subject to the following standard conditions unless otherwise stated in the quotation document itself:
- Validity Period: Quotations are valid for 30 (thirty) calendar days from the date of issue, unless explicitly stated otherwise in the quotation. After expiry, prices and lead times are subject to revision.
- Material Pricing: Quoted prices are based on raw material costs prevailing at the date of quotation. EIC reserves the right to revise pricing in the event of significant fluctuations in material costs (e.g., PP, ABS, Nylon resin prices, copper wire indices) before a purchase order is confirmed.
- Tooling Costs: Any tooling, mould fabrication, or fixture development charges quoted are one-time costs and are not included in per-unit pricing unless explicitly stated. Tooling charges are generally non-refundable once fabrication has commenced.
- Minimum Order Quantity (MOQ): Quotations are issued against a stated or assumed MOQ. A change in order quantity may result in a revised per-unit price.
- Currency: All prices are quoted in Indian Rupees (INR) unless expressly stated otherwise. Export quotations in foreign currencies are subject to exchange rate fluctuations.
- Taxes: Prices quoted are exclusive of applicable Goods & Services Tax (GST) or other statutory levies, which will be charged additionally as applicable at the time of invoicing.
Any pricing information displayed on this Site (if any) is indicative only and does not constitute a binding offer. Final pricing is confirmed exclusively through a written quotation issued by EIC.
5. Confidentiality of Client Submissions
EIC recognises that prospective clients may share proprietary, sensitive, or commercially confidential information when submitting an enquiry — including, without limitation, product drawings, 3D models, technical specifications, design details, part geometries, wire routing schematics, or application-specific requirements ("Client Materials").
By submitting Client Materials to EIC via the enquiry form or any other communication channel, you agree and EIC confirms the following:
- EIC will treat all Client Materials as strictly confidential and will not disclose them to any third party except on a need-to-know basis to EIC's own personnel directly involved in evaluating your enquiry or preparing a quotation.
- EIC will use Client Materials solely for the purpose of responding to your enquiry, preparing a quotation, or — upon a confirmed order — manufacturing the specified products.
- EIC will not use Client Materials for reverse engineering, benchmarking, or developing competing products for other clients.
- The confidentiality obligation above shall not apply to information that: (a) is or becomes publicly available through no breach by EIC; (b) was already known to EIC prior to disclosure; (c) is independently developed by EIC without reference to the Client Materials; or (d) is required to be disclosed by law or court order, in which case EIC will endeavour to provide prior notice where legally permissible.
For projects requiring a more formal non-disclosure framework, we are happy to execute a bilateral Non-Disclosure Agreement (NDA) prior to the sharing of any sensitive technical documentation. Please indicate this requirement when initiating contact.
6. Intellectual Property
Site Content: All content on this Site — including text, graphics, photographs, videos, logos, trademarks, and the overall "look and feel" — is the intellectual property of Engineers India Corporation or its licensors and is protected under applicable Indian and international intellectual property laws. You may not reproduce, redistribute, republish, or commercially exploit any Site content without our prior written consent.
Client-Owned IP: All intellectual property rights in Client Materials (drawings, designs, specifications, etc.) submitted by a client or prospective client remain the exclusive property of that client (or their licensor). EIC acquires no ownership rights, licences, or interests in Client Materials beyond what is strictly necessary to evaluate the enquiry and fulfil any resulting confirmed order.
EIC Manufacturing Know-How: EIC's proprietary manufacturing processes, tooling methodologies, process parameters, quality systems, and production know-how are and shall remain the exclusive intellectual property of EIC, irrespective of any client project. Clients acquire no rights in EIC's manufacturing IP by virtue of placing orders or sharing specifications.
Custom Tooling: Unless expressly agreed otherwise in writing, any tooling, moulds, or jigs fabricated by EIC to produce client-specified components — even where tooling costs are borne by the client — remain the physical property of EIC during active production. Transfer of physical tooling ownership, if applicable, shall be governed by the terms of a separate written agreement.
7. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- EIC's total aggregate liability to any party arising out of or in connection with the use of this Site (including the submission of enquiries) shall not exceed ₹10,000 (Indian Rupees Ten Thousand).
- EIC shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of business, loss of profits, loss of anticipated savings, loss of data, or reputational harm — arising from your use of or inability to use the Site, even if EIC has been advised of the possibility of such damages.
- EIC shall not be liable for any delay or failure in responding to an enquiry due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, power outages, internet service disruptions, or force majeure events.
Nothing in these Terms limits EIC's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by Indian law.
8. Content Disclaimer
The content on this Site — including product descriptions, capability information, case references, client logos, technical data, certifications, and imagery — is provided for general informational and marketing purposes only.

9. Third-Party Links
This Site may contain links to third-party websites (e.g., Google Maps, LinkedIn, WhatsApp). These links are provided for your convenience only. EIC has no control over the content, privacy practices, or reliability of third-party websites and does not endorse or accept responsibility for them. Your access to and use of linked third-party websites is at your own risk and governed by those websites' own terms and privacy policies.
10. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of India. Any dispute, claim, or controversy arising out of or relating to these Terms or the use of this Site shall be subject to the exclusive jurisdiction of the courts at Gurugram, Haryana, India.
Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of at least 30 days from the date written notice of the dispute is provided to the other party.
11. Changes to These Terms
EIC reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms on this page with a revised "Last Updated" date. Your continued use of the Site after any such update constitutes your acceptance of the modified Terms. We recommend reviewing these Terms periodically.
